1. Acceptance of Terms

Welcome to kalifora.com (the “Website” or “Platform”). The Website is owned and operated by Kalifora LLC, a Wyoming limited liability company located at 30 N Gould St Ste R, Sheridan, WY 82801, USA (“Company,” “we,” “us,” or “our”).

By accessing, browsing, or using kalifora.com, registering an account, or using any services provided through the Platform, you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”) and all applicable laws and regulations. If you do not agree with any part of these Terms, you must immediately discontinue use of the Website.

2. Platform Role & Marketplace Nature

Intermediary Platform and Marketplace. Kalifora LLC operates an international online marketplace that connects independent manufacturers and sellers (“Sellers”) with buyers (“Buyers”).

Company Role. Kalifora acts as an intermediary and marketplace operator. The Company provides: product display, order intake, payment processing, order fulfillment coordination, delivery organization, return and refund request handling, and dispute resolution.

Sellers. Goods listed on the Platform are sold by independent Sellers. Sellers are responsible for the accuracy of descriptions, product quality and safety, compliance with shipping timelines, and compliance with applicable laws.

No Agency. Nothing in these Terms creates a joint venture, agency, partnership, or employment relationship between Kalifora LLC and any User or Seller.

3. Eligibility and Account Registration

Age Requirements. You must be at least 18 years old or the legal age of majority in your jurisdiction to create an account or use this Platform. If you are under the required age, use of the Platform is permitted only with the consent and supervision of a parent or legal guardian.

Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at info@kalifora.com of any unauthorized use.

Accuracy of Information. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

4. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • violating any applicable local, state, national, or international law or regulation;
  • transmitting, listing, or selling counterfeit, illegal, unsafe, or unauthorized products;
  • scraping, data mining, or using automated tools to access, extract, or index Platform data without prior written consent;
  • uploading viruses, malware, or any code designed to disrupt or limit Platform functionality;
  • attempting to bypass, disable, or interfere with security features of the Website;
  • infringing upon the intellectual property, privacy, or publicity rights of third parties or Kalifora LLC.

5. Intellectual Property Rights

Company Ownership. All content, software, design, branding, software code, logos, and materials available on kalifora.com are the exclusive property of Kalifora LLC or its licensors and are protected by US and international copyright, trademark, and intellectual property laws.

User Content. By uploading logos, product listings, reviews, or other content to the Platform, you grant Kalifora LLC a worldwide, non-exclusive, royalty-free license to use, reproduce, display, and distribute such content for the period necessary to operate, promote, and improve the Platform, or until the content is deleted by the User. Upon deletion of content by the User, the license terminates with respect to that content, except where retention is required by applicable law.

6. Orders, Payments, and Taxes

Transactions. Financial transactions on the Platform are processed through secure third-party payment gateways. Kalifora does not collect or store full payment card details.

Taxes & Customs. Buyers and Sellers are independently responsible for determining and paying any applicable sales tax, VAT, duties, tariffs, or customs clearance fees required by their local laws.

7. Returns and Refunds

Rules governing order cancellations, returns, refunds, and dispute resolution are set out in the separate Refund & Return Policy published on the Platform. These Terms do not replace or limit any rights granted to the Buyer by that Policy or by applicable law.

8. Seller Responsibilities

Each Seller using the Platform agrees to:

  • provide accurate product descriptions;
  • comply with applicable product safety requirements;
  • comply with applicable consumer protection laws;
  • comply with applicable sanctions and export control laws, including rules of the U.S. Office of Foreign Assets Control (OFAC), the European Union, the United Kingdom, the United Nations, and other applicable jurisdictions;
  • cooperate with Kalifora in resolving Buyer claims;
  • not use listing conditions to remove consumer rights that cannot legally be excluded.

9. Sanctions and Export Control

Users and Sellers agree to comply with all applicable sanctions and export control laws. Products subject to sanctions or export prohibitions may not be offered, sold, or shipped to persons, entities, or countries subject to such restrictions. Kalifora may suspend or cancel any transaction that, in Kalifora’s reasonable judgment, may violate applicable sanctions or export control laws.

10. Third-Party Links & Services

The Platform may contain links to third-party websites, tools, or services. Kalifora LLC does not endorse, control, or assume responsibility for the content, privacy policies, or practices of any third-party websites.

11. Limitation of Liability & Disclaimer of Warranties

“As-Is” Basis. The Website and all services provided through kalifora.com are offered on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied.

Limitation of Liability. To the maximum extent permitted by law, Kalifora LLC, its members, directors, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of your access to or use of (or inability to access or use) the Platform.

Product Liability. Sellers are responsible for the quality, legality, safety, and conformity of the products they offer. Kalifora coordinates the handling of claims within the Platform.

12. Indemnification

You agree to indemnify, defend, and hold harmless Kalifora LLC, its officers, managers, members, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising out of your violation of these Terms or your misuse of the Platform.

13. Account Suspension and Termination

Kalifora may suspend or terminate a User’s account, restrict access to the Platform, or refuse service if:

  • the User has violated these Terms;
  • the User’s activity involves fraud, abuse, or unlawful conduct;
  • it is required by applicable law or a governmental request.

A User may close their account at any time by contacting customer support.

14. Dispute Resolution

Users should first use Kalifora’s dispute resolution procedure available on the Platform. Nothing in this section prevents a User from exercising any non-waivable right available under applicable law.

15. Force Majeure

Neither Kalifora nor Sellers shall be liable for delays, non-performance, or impossibility of performance caused by force majeure events, including, but not limited to: natural disasters, armed conflicts, sanctions, embargoes, strikes, disruptions of carriers, ports, or customs authorities, epidemics, pandemics, quarantine restrictions, acts of governmental authorities, and other circumstances beyond the reasonable control of the party.

16. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Wyoming, USA, unless applicable mandatory law requires otherwise.

This section does not deprive a consumer of the protection guaranteed by the mandatory rules of the country of their habitual residence.

17. No Waiver of Mandatory Rights

Nothing in these Terms:

  • excludes or limits liability where such exclusion or limitation is prohibited by law;
  • removes mandatory consumer guarantees;
  • removes mandatory withdrawal or cancellation rights;
  • prevents a User from exercising rights granted by applicable consumer protection legislation;
  • prevents a competent authority or court from applying mandatory law.

Where a provision of these Terms conflicts with mandatory law applicable to a particular transaction, the mandatory law will prevail to the extent of the conflict.

18. Modifications to Terms

Kalifora LLC reserves the right to update or modify these Terms at any time. Any changes will be posted on this page with an updated “Last Updated” date. Continued use of the Website after any modifications constitutes acceptance of the revised Terms.
